Terms of Service

Important. These Terms govern use of the ESGDO online application (VSME sustainability reporting platform) by business customers only (B2B). They do not constitute legal, tax, audit, or regulatory advice. By registering or using the application you accept these Terms and our Privacy & Cookie Notice.

1. Provider, scope and acceptance

1.1 Provider

The provider of the ESGDO application is:

  • ESGDO Sp. z o.o.
  • Registered in the Register of Entrepreneurs of the National Court Register (KRS): 0001251073
  • Tax ID (NIP): PL5291870144
  • Registered office: ul. S. Staszica 33, 05-822 Milanówek, Poland
  • Contact: [email protected] and details on esgdo.com

In these Terms, “we”, “us” or “Provider” means the company above; “you” or “Customer” means the undertaking or person acting on its behalf that uses the application under a business relationship.

1.2 What these Terms cover

These Terms apply to:

  • the ESGDO application (account, VSME reports, billing, AI features, exports); and
  • related contractual matters (report preparation fees, AI credit purchases, invoices).

Our public website (information pages, newsletter, contact forms) is described briefly in Section 16. Website privacy and cookies are governed by the Privacy & Cookie Notice, not duplicated here.

1.3 B2B only

The application is offered only to entrepreneurs and organisations (B2B), not to consumers acting outside their trade or profession. You confirm that you use the service for business purposes and that you have authority to bind the undertaking you represent (see Section 3).

1.4 Acceptance

You accept these Terms by:

  • creating an account and ticking the acceptance boxes for these Terms and the Privacy & Cookie Notice;
  • paying for a report or AI credits; or
  • continuing to use the application after we publish an updated version, where permitted under Section 14.

1.5 Definitions

  • Application — the ESGDO web platform for preparing VSME sustainability reports.
  • Account — your organisation’s workspace (users, entities, credits, reports).
  • Report — a VSME report instance linked to an entity and reporting period.
  • General information (Part 1) — the section used to define core undertaking identity and parameters (including employee count) that determine pricing.
  • AI credits — units consumed by AI chat and related features (1 credit = 1,000 tokens in our system).
  • Paid report — a report for which the applicable report preparation fee has been successfully paid.

2. Description of the service

ESGDO is a software-as-a-service (SaaS) tool that helps undertakings prepare VSME sustainability reports, including structured data entry, validation, HTML preview, and export to PDF, Word, and XBRL where available for the report.

The application may include:

  • modules for general, environmental, social, and governance information;
  • optional AI-assisted help and chat tied to form fields;
  • upload of account-specific training materials for AI context (subject to your settings and our policies);
  • lookup helpers for Polish (GUS) and EU (VIES) business identifiers when you request them;
  • team user management with roles (e.g. owner, admin, editor).

We do not file reports with authorities on your behalf, certify compliance, or guarantee that any output meets a specific regulator’s requirements. You remain responsible for the accuracy, completeness, and lawful use of data you enter and export.

We may improve, change, or discontinue features with notice where required (Section 14). We do not currently offer recurring subscription plans; access to full report content is based on per-report payment as described below.

3. Registration and account

3.1 Registration

Where registration is open, you may create an account by providing accurate information. You must be at least 18 years old and authorised to act for the undertaking on whose behalf you register.

3.2 Representation warranty (B2B)

By registering, you warrant that you are duly authorised to act for the undertaking associated with the account and that information you provide about that undertaking is correct to the best of your knowledge.

3.3 Account security

You must keep login credentials confidential, use a strong password, and enable two-factor authentication when offered. You are responsible for activity under your account, including actions of team users you invite.

3.4 Team users

Account owners/admins may invite additional users and assign roles and entity access. You are responsible for permissions you grant and for revoking access when appropriate.

3.5 Email verification and SSO

We may require email verification. If single sign-on (Google, LinkedIn, Microsoft) is enabled, its use is also subject to the provider’s terms.

4. Free access and paid reports

4.1 After registration (free tier)

After you register, without paying for a report you may:

  • create and edit General information (Part 1) for reports;
  • receive a one-time welcome bonus of 100 AI credits per account (not transferable to another account);
  • use other account features that do not require a paid report (e.g. managing entities, subject to product limits).

All other report sections (environmental, social, governance, and related modules) remain blocked until the relevant report is paid for.

4.2 Paying for a report

Each report requires its own report preparation fee. Payment unlocks the full report workflow for that report only. Creating multiple reports does not substitute payment; unpaid reports stay restricted.

4.3 Information locked after payment

Before you pay, you must complete in General information (Part 1) the undertaking details that define the order and price, including in particular:

  • reporting period (start and end dates);
  • name of the reporting entity;
  • identifier scheme and entity identifier;
  • undertaking’s legal form; and
  • number of employees (used to determine the pricing tier).

Before you pay — read carefully. We show you a clear notice that after successful payment these fields can no longer be changed for that report. You must verify that they describe the undertaking you intend to report for. We do not grant refunds for errors in these fields that were visible and correctable before payment.

After payment you receive access to all report sections for that report, a payment confirmation by email, and a tax invoice for the payer (usually within a few minutes of processing).

5. Pricing and payment

5.1 Pricing model

Report preparation fees depend on the pricing tier linked to the number of employees you declare for that report in General information (Part 1). These published tiers are for companies with up to 1,000 employees. Tiers, net prices, included AI credits, and support level labels are shown in the application and at checkout. If the amount at checkout differs from this table, the amount at checkout applies.

Current tiers (euro, excluding VAT, one payment per report), as published on esgdo.com/pricing:

Employees Net price Included AI credits Support level
1 to 10 €690 1,000 Basic
11 to 50 €1,190 2,000 Extended
51 to 250 €1,890 3,000 Extended
251 to 1,000 €2,990 5,000 Extended

Prices may be shown in PLN, EUR, USD, or another currency at checkout. Net amounts and VAT treatment are calculated from the payer’s billing country (Section 7).

5.2 Payment methods

Payments for reports and AI credits are processed online. We do not store full payment card numbers on our servers.

  • Stripe — checkout for customers outside Poland or where Stripe is offered. Stripe’s terms apply.
  • Przelewy24 (PayPro S.A.) — checkout for customers in Poland. Online transfers, BLIK, and other methods offered by Przelewy24 may be available. Przelewy24’s terms apply.

Card payments via Przelewy24: the payment card operator is PayPro S.A., Settlement Agent, ul. Pastelowa 8, 60-198 Poznań, Poland, entered in the Register of Entrepreneurs of the National Court Register kept by the District Court Poznań Nowe Miasto i Wilda in Poznań, VIII Commercial Division of the National Court Register under KRS number 0000347935, NIP 7792369887, REGON 301345068.

We do not offer PayPal or recurring subscriptions in the application at this time.

5.3 Contract formation

When you complete checkout (Stripe or Przelewy24) for a report or AI credits, you make an offer to purchase at the price shown. The contract is formed when we confirm successful payment (and, for reports, mark the report as paid in the application).

5.4 No refunds (report fees)

Except where mandatory law requires otherwise for your jurisdiction (these Terms target B2B), report preparation fees are non-refundable once paid, including where you mis-entered pre-payment identity or employee data that we warned you to verify, or where you no longer need the report.

6. AI credits

6.1 Welcome bonus

New accounts receive 100 AI credits once, credited to the account balance. The bonus is not cash, not transferable, and may be removed if the account is terminated for breach or abuse.

6.2 Credits included with report payment

When you pay for a report, the included AI credits for that tier are added to your account balance. They may be used for that report and, while balance remains, for other reports and entities under the same account, subject to consumption rules in the application.

6.3 Additional credit purchases

If your balance is insufficient, you may buy additional AI credits in bundles through the application (Stripe or Przelewy24 checkout, separate pricing per 1,000 credits). Purchased credits are added to the account balance.

6.4 Consumption and limits

AI features consume credits when used (e.g. chat messages, training-related processing). We may apply technical limits to protect the service. Credits have no monetary redemption value.

6.5 AI content

AI outputs are suggestions only. You must review and approve data before relying on it in a report or export. See Section 10.

7. Invoices and tax

We issue tax invoices (VAT invoices) for successful payments where required by law.

  • Customers established in Poland: Polish VAT at 23% is added to the net price shown at checkout.
  • Customers not established in Poland (including other EU member states and countries outside the EU): invoices are issued with 0% VAT on the supply, with the applicable reverse charge / export qualification noted on the invoice; you are responsible for any tax due in your country.

You must provide accurate payer and invoicing details (company name, address, tax identifiers). You may download invoices from the application after purchase. Invoice corrections for errors attributable to you may require a credit note process and your cooperation.

8. Exports and use of outputs

8.1 Use of exports

For a paid report, you may use export and preview features offered in the application, including HTML preview, PDF, Word, and XBRL export, as implemented for that report.

You are responsible for:

  • verifying exports before submission to third parties;
  • ensuring you have rights to underlying data you entered or uploaded;
  • compliance with laws applicable to your undertaking when publishing or filing information.

8.2 Platform identification

HTML preview, PDF, and Word files produced by the application identify ESGDO and https://esgdo.com. You must not remove, hide, or change that identification, and you must not publish or circulate those files without it.

8.3 Word export and whitelabel

If we enable Word export for your account and have not accepted whitelabel use, the Word footer that names the ESGDO tool and the website address must stay in the file. You must not remove it.

Removing ESGDO identification from a Word document is allowed only after we accept that right for your account. Request it at [email protected].

9. Acceptable use and anti-fraud

9.1 General rules

You must use the application lawfully and in line with these Terms. You must not:

  • upload malicious code or unlawful content;
  • attempt to bypass payment or access controls (including the paid status of reports);
  • reverse engineer, decompile, or otherwise attempt to derive the source code, structure, or internal operation of the application, except where mandatory law does not allow this restriction;
  • publish, send, or otherwise share screens or screen recordings of the application, except with users of your own account or when you send them to us for support;
  • scrape or overload the service;
  • misuse AI to generate unlawful or infringing content;
  • access data of other accounts without authorisation.

9.2 Report payment integrity

The fee for a report covers preparation for the undertaking and parameters declared before payment. Technical measures include locking key identity and pricing fields after payment. You must not attempt to use one report payment to prepare or export content for a different undertaking by circumventing those controls.

9.3 Monitoring and enforcement

We monitor use of the application (including audit logs, payment patterns, and identity changes) to detect abuse and fraud. If we reasonably suspect breach of these Terms or attempted fraud (including misuse of report payments), we may:

  • investigate and request explanations or documents;
  • suspend or restrict access to the account or specific reports;
  • block exports or payments pending review;
  • terminate the account without refund;
  • report matters to authorities where required by law.

Suspicion of fraud is a sufficient ground for immediate suspension where reasonably necessary to protect the service and other customers.

10. Intellectual property and your content

10.1 Our IP

We own or license the application, software, documentation, default help texts, branding, and global training materials. You receive a limited, non-exclusive, non-transferable right to use the application for your internal business purposes while your account is active and fees are paid where due.

10.2 Your content

You retain ownership of data and materials you enter or upload. You grant us a licence to host, process, back up, display, and use that content as needed to provide the service (including AI processing and embeddings for features you enable) and to comply with law.

10.3 Controller / processor

For account and billing data we act as data controller (see Privacy & Cookie Notice). For report content and uploads about your undertaking, you are typically the controller and we act as processor — a data processing agreement is available on request for B2B customers.

11. Availability, support and disclaimers

We provide the application on a reasonable efforts basis. Temporary downtime may occur for maintenance or causes beyond our control. Support level (basic or extended) is informational for the tier purchased; scope is limited to application defects and usage assistance as described at purchase, not to consulting on your sustainability strategy or legal compliance.

Disclaimer: except as expressly stated in these Terms or mandatory law, the application and exports are provided “as is” without warranties of fitness for a particular regulatory outcome, uninterrupted operation, or error-free AI output.

12. Liability (B2B)

To the fullest extent permitted by applicable law for business customers:

  • our aggregate liability arising from or related to these Terms or the application is limited to the greater of (a) fees you paid us for the specific report or AI credit purchase giving rise to the claim in the 12 months before the event, or (b) PLN 1,000;
  • we are not liable for indirect loss, lost profit, lost revenue, loss of data (except where caused by our gross negligence and restoration is technically feasible), or consequential damages;
  • we are not liable for decisions you make based on AI suggestions or exports you submit to third parties.

Nothing limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited under Polish law.

13. Suspension and termination

13.1 By you

You may stop using the application at any time. You may request account closure by contacting us. Outstanding fees remain due. Unused AI credits are not refundable unless we agree otherwise in writing.

13.2 By us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay, pose a security risk, or we reasonably suspect fraud or abuse (Section 9). We may terminate with notice for other material reasons where a brief cure period is reasonable.

13.3 Effects

On termination, your right to use the application ends. Provisions that by nature survive (fees owed, liability limits, IP, dispute resolution) remain in force. Handling of personal and report data after termination is described in our Privacy & Cookie Notice.

14. Changes to these Terms

We may update these Terms for legal, technical, or business reasons. We will publish the new version with an updated date. For material changes affecting active accounts, we will notify account holders by email or in-app notice where appropriate.

For continuous use of the application, continued use after the notice period may constitute acceptance where permitted under Polish law (including Civil Code provisions on amending general terms with entrepreneurs). One-off purchases (a specific report payment or credit purchase) remain governed by the Terms in force at the time of that purchase, unless mandatory law requires otherwise.

15. Complaints, law and disputes

Complaints about the application may be sent to our contact details in Section 1. We aim to respond within 14 calendar days.

These Terms are governed by Polish law. Courts having jurisdiction over our registered office shall have exclusive jurisdiction over disputes with Customers acting as entrepreneurs, unless mandatory provisions of your country as an EU business grant you protection to sue in your domicile in limited cases.

As B2B service, consumer-specific out-of-court dispute platforms are not the primary regime; EU traders may use institutions available in their country where applicable by law.

16. Public website

Our public website presents ESGDO and allows you to subscribe to a newsletter, ask general questions, or submit partnership or discount enquiries. No application account is created on the website. Website use is subject to the Privacy & Cookie Notice (including analytics tags where you consent). Submitting a form does not create a contract for report preparation until you register in the application and complete a separate checkout.

17. Final provisions

  • If any provision is invalid, the remainder stays in effect.
  • Failure to enforce a right is not a waiver.
  • You may not assign your rights without our consent; we may assign to an affiliate or successor.
  • Related documents: Privacy & Cookie Notice; Stripe terms; Przelewy24 terms and Przelewy24 privacy policy; order confirmations and invoices for specific transactions.
